The Service is intended for Adult use only. All users of this service must be 13 years or older to access and use the Service. Zilicus Solutions will never knowingly solicit nor will it accept personally identifiable information from users known to be under thirteen (13) years of age.
It is your responsibility to comply with all applicable local, state, national and foreign laws relating to your use of the Service. You may not violate any applicable law or regulation; post or transmit any materials that violate any applicable local law.
Zilicus Solutions may modify, suspend or discontinue this Service at any time, for any reason, at its sole discretion. Zilicus Solution reserves the right to refuse service to anyone for any reason at any time.
If you cancel or terminate your account with Zilicus Solutions, all of your content, data, information, text, files, documents, images and feeds will be immediately deleted from the Service.
As you can cancel at any time, we have a "no refunds" policy. An email or phone request to cancel an account is not a cancellation. We need to correspond with you first to determine that you are the holder of the account and can confirm the cancellation request. Once the cancellation request is confirmed, we will cancel your account immediately. If you are billed during this period, then a refund is not available. We have the right to suspend or cancel your account for any reason, at any time. We will usually only take this action as a last resort. All fees charged are exclusive of local taxes and are your responsibility to pay.
If you are a Google Apps user, then you can delete our product from your Google Apps account at any time. Note that this does not represent a cancellation of our service because users often delete and then re-add our product to their account, without wanting to cancel our service. If you wish to cancel our service, then you need to inform us so that we can complete the cancellation process as described above. We do not offer refunds in the instance that you forget to directly to cancel your account, or if you have not used your account since you signed up.
Zilicus claims no ownership, responsibility or intellectual property rights over any of the content or materials you provide/enter while using the Service.
However we are the owners of the copyright and intellectual property for the content that has been provided to you.
The look and feel of this website and the graphical user interface is strictly our intellectual property. You may not reproduce, adapt, upload, link, frame, broadcast, distribute or in any way transmit this copyright or intellectual property without our written consent, other than to the extent necessary by law.
Zilicus assumes no responsibility for any content or material loss that results from you Downgrading your account.
New users of Zilicus may be provided an access to a Free Version (or Free Trial) of Zilicus applications to evaluate, test and use the Service. The Free Version of the Service is provided at no cost to the user. While using the Free Version, Zilicus may restrict the length of time, number of days, storage limits, page views, number of participating members and the number of Work spaces created and owned by the user. If the user desires additional services beyond the scope and limitations of the Free Version, then the user must subscribe to the Service as a paying customer to continue to use the service. Zilicus reserves the right to change the terms of the Free Version at any time.
While using the Free Version, once the limitations as stated as a part of free trial/version are crossed, Zilicus will delete all content, data, information, text, files, documents, images and feeds that were created and stored in Free Version.
To administer Work spaces beyond the scope of the Free Version, users must select a payment plan and subscribe to Zilicus.
You may upgrade your Free Version to a paying plan during the the validity of Free Version. By upgrading to a paying plan your Free Version will end. Your billing cycle begins immediately on the day you upgrade your Service.
Pre-pay: You can choose to pre-pay for a specific term in order to gain a discount on the monthly price per user.
The transaction will automatically renew at the end of the term. At any time, you can e-mail us to request that the automatic renewal is turned off. If you do not e-mail us, then your pre-paid term will be automatically renewed upon expiry and you will continue to receive the discounted user licensing benefits. This automatic renewal is also non-refundable.
Services are billed in advance and in accordance with the payment schedule you select: monthly, quarterly or annually. Zilicus will continue to bill your credit card or invoice you automatically on the monthly, quarterly or annual billing cycle in accordance with the payment schedule you select.
All fees are exclusive of all taxes or duties imposed by taxing authorities.
You may use our online upgrade/downgrade service, or send us email to firstname.lastname@example.org and we will upgrade or change your plan accordingly & the change will effect only upon email confirmation from both sides (Zilicus user and Zilicus).
All payments rendered are non-refundable. You may cancel at anytime, by simply logging into your account and processing online. Refunds and/or credits cannot be issued for partial months or periods pre-paid in advance.
All cancellation notices are made effective immediately upon receipt. Refunds and/or credits cannot be issued for unused partial months or periods pre-paid in advance. Upon cancellation, Zilicus will destroy all content, data, information, text, files, documents, images and feeds that were created and accessed during your subscription to the Service.
Zilicus may change the prices for any of its Services upon 30 days notice via the Zilicus website (www.zilicus.com) or through the Service itself. Ziliucs will not raise or lower prices for pre-paid periods in advance. Any price changes will be made effective upon the next billing cycle.
Zilicus Solutions is not responsible for maintaining the security of your username and password, except to the sole extent whereby the username and password are maintained and stored within a Zilicus server or computer. In such situation, Zilicus Solutions is solely responsible for the protection and security of the username and password in order to stop a third party from accessing this information. It is your responsibility to notify Zilicus Solutions if you believe your username or password have been compromised or used in an unauthorized manner.
Zilicus Solutions assumes no responsibility, liability or obligations for any loss or damage to resulting from your failure to comply with the security of your username and/or password.
You are responsible for all activity and usage of the Service and for all content created on, posted to or accessed under your username and password, unless such use of the username and password were made by an unauthorized third party due as a direct result of a breach by Zilicus of its obligation to adequately protect and secure this confidential information.
You agree not to share your username and password with other people. Each user account may only be used by one person.
You must provide a name, valid email address and other information necessary to register with the Service. You agree to provide true and accurate information to register with the Service. You agree not to impersonate any person or entity or a false identity or attempt to manipulate identifiers to mislead or disguise the origin of any information used to access the Services. Zilicus Solutions reserves the right to terminate your use of the Services upon the discovery that the information you provided is not complete or accurate.
You must take your own precautions to ensure that the way you access this website does not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your own computer system. You give us permission to use your company brand on our customer list as published on our website and in press releases.
You acknowledge that despite all reasonable precautions on our behalf, there is a remote risk of unauthorised access to your data contained on this website. These Terms of Service comprise the entire agreement between you and Zilicus Solutions with respect to the use of the Service and supersedes all prior agreements between the parties regarding the subject matter contained herein (including any prior versions of the Terms of Service).
